1. Definitions

For purposes of these Terms:

• "Captain" means a user who creates or manages booking requests for cricket matches.
• "Umpire" means an independent cricket umpire using the Platform to accept bookings.
• "Booking" means a request for umpiring services that becomes a confirmed booking once accepted by an umpire through the Platform.
• "Platform" means STRIKR™, including its website, mobile applications, APIs, software, features, and related services.
• "User" means any individual or entity that accesses or uses the Platform.
• "Content" means all information, text, photographs, images, videos, reviews, communications, documents, data, and other materials submitted to or displayed through the Platform.

2. Eligibility

You must be at least thirteen (13) years of age to use the Platform.

If you register or use the Platform on behalf of a cricket club, league, tournament, business, or other organization, you represent and warrant that you have the legal authority to bind that organization to these Terms.

You agree to comply with all applicable federal, state, local, and international laws while using the Platform.

3. About STRIKR™

STRIKR™ is an online technology marketplace that facilitates connections between cricket captains, clubs, leagues, tournament organizers, and independent cricket umpires.

Solaris Sports Group LLC provides technology services only.

Solaris Sports Group LLC:

• Does not provide umpiring services;
• Is not an employer of any umpire;
• Does not supervise or direct umpiring services;
• Does not guarantee the quality, legality, safety, availability, or outcome of umpiring services;
• Is not responsible for the acts or omissions of users; and
• Is not a party to agreements entered into between captains and umpires.

Any agreement relating to umpiring services exists solely between the captain (or organizer) and the umpire.

4. User Accounts

To access certain features of the Platform, you must create an account.

You agree to:

• Provide accurate, current, and complete information;
• Maintain and promptly update your information;
• Keep your login credentials confidential;
• Notify us immediately of any unauthorized access or suspected security breach;
• Accept responsibility for all activity conducted through your account.

You may not create multiple accounts to evade Platform restrictions or enforcement actions.

Solaris Sports Group LLC reserves the right, in its sole discretion, to verify information, refuse registration, suspend, restrict, or permanently terminate any account for violations of these Terms, suspected fraud, abuse, security concerns, or other conduct that may harm the Platform, its users, or the Company.

5. Identity Verification

To maintain the integrity and security of the Platform, Solaris Sports Group LLC may request government-issued identification, certifications, licenses, background information, or other documentation from any user.

Verification is performed solely for Platform purposes and does not constitute an endorsement, certification, guarantee, or warranty regarding any user's identity, qualifications, experience, or conduct.

We reserve the right to reject, suspend, or terminate any account that fails to satisfy our verification requirements.

6. Acceptable Use

You agree that you will not:

• Violate any applicable law or regulation;
• Submit false, misleading, or fraudulent information;
• Create fictitious or fraudulent bookings;
• Impersonate another individual or organization;
• Harass, threaten, intimidate, abuse, or discriminate against another user;
• Upload malware, viruses, ransomware, or other malicious code;
• Interfere with the security, operation, or availability of the Platform;
• Attempt unauthorized access to any account, database, server, API, or computer system;
• Reverse engineer, decompile, disassemble, or otherwise attempt to obtain the Platform's source code;
• Use bots, scrapers, crawlers, spiders, or automated systems without our prior written consent;
• Copy, reproduce, distribute, harvest, or exploit Platform data without authorization;
• Infringe the intellectual property rights of Solaris Sports Group LLC or any third party; or
• Use the Platform for any unlawful, deceptive, or unauthorized purpose.

Violation of this section may result in immediate suspension or permanent termination of your account without prior notice.

7. Captain Responsibilities

Captains and match organizers agree to:

• Submit booking requests only for legitimate cricket matches;
• Ensure that all booking information, including the date, time, and venue, is accurate before submitting a booking request;
• Communicate honestly and respectfully with umpires;
• Pay all applicable fees disclosed before completing a transaction;
• Comply with all applicable laws and league rules; and
• Use the Platform in good faith.

Once an umpire accepts a booking request, the booking becomes confirmed and is governed by these Terms.

Repeated abuse of the booking system, fraudulent conduct, payment abuse, or violations of these Terms may result in suspension or permanent termination.

8. Umpire Responsibilities

Umpires agree to:

• Maintain truthful and accurate profile information;
• Accurately represent their qualifications, certifications, and experience;
• Keep their availability current;
• Honor accepted bookings;
• Perform umpiring services professionally and in accordance with applicable cricket rules;
• Conduct themselves respectfully toward all users.

Submission of false credentials, fraudulent conduct, repeated no-shows, or serious misconduct may result in suspension or permanent removal from the Platform.

9. Independent Contractor Relationship

Each umpire using STRIKR™ is an independent contractor.

Nothing contained in these Terms creates an employment relationship, agency, partnership, joint venture, franchise, fiduciary relationship, or employer-employee relationship between Solaris Sports Group LLC and any umpire.

Solaris Sports Group LLC does not supervise, direct, or control the manner in which umpiring services are performed.

Users are solely responsible for their interactions, agreements, communications, and disputes with one another.

No user has authority to bind Solaris Sports Group LLC to any contract, obligation, or representation.

10. Bookings

Captains may submit booking requests through the Platform by providing accurate match details, including the match date, time, venue, and any other information requested by the Platform.

A booking request is not confirmed until it has been accepted by the selected umpire through the Platform.

Once accepted, the booking becomes a confirmed booking and is binding on both the captain and the umpire, subject to these Terms.

Solaris Sports Group LLC reserves the right, but is not obligated, to reject, remove, suspend, or cancel any booking that violates these Terms, applicable law, or the security and integrity of the Platform.

11. Non-Cancellable Bookings

Once an umpire accepts a booking request, the booking becomes final and cannot be cancelled by the captain through the Platform.

Captains are responsible for verifying all booking details before submitting a booking request.

Solaris Sports Group LLC may cancel or modify a booking where reasonably necessary to investigate fraud, correct technical errors, comply with legal obligations, protect the safety or security of users, or preserve the integrity of the Platform.

12. Umpire No-Show Policy

By accepting a booking through the Platform, an umpire enters into a binding commitment to officiate the scheduled match at the agreed date, time, and location.

If an umpire fails to appear for a confirmed booking without reasonable prior notice or a valid reason, Solaris Sports Group LLC may, in its sole discretion:

• Issue a warning;
• Temporarily suspend the umpire's account;
• Permanently terminate the umpire's account;
• Reduce the umpire's visibility or ranking within the Platform;
• Assess a reasonable administrative fee to recover costs associated with the no-show, provided such fee has been disclosed before the umpire accepted bookings;
• Deduct any applicable administrative fee from amounts otherwise payable to the umpire or charge the payment method on file where authorized by the umpire and permitted by applicable law; and/or
• Take any other action reasonably necessary to protect the Platform, its users, and the integrity of the booking system.

Repeated no-shows or a pattern of unreliable conduct may result in permanent removal from the Platform.

Solaris Sports Group LLC reserves the sole right to determine, based on the information reasonably available, whether an absence constitutes an excused absence or a no-show.

13. Payments

Where available, payments made through the Platform are processed by independent third-party payment service providers.

By providing payment information, you authorize Solaris Sports Group LLC and its payment providers to charge your selected payment method for all applicable fees and charges associated with your transactions.

Solaris Sports Group LLC does not store complete payment card information and is not responsible for delays, interruptions, or errors caused by third-party payment processors.

14. Platform Fees

Strikr may charge booking fees, platform service fees, administrative fees, convenience fees, processing fees, taxes, and other applicable charges.

All applicable fees will be clearly disclosed before a transaction is completed.

By completing a transaction through the Platform, you authorize the collection of all applicable fees and charges displayed at checkout.

Unless otherwise stated at the time of payment or required by applicable law, platform service fees and administrative fees are non-refundable.

15. Refunds

Refund eligibility, if any, shall be governed by the payment terms presented at the time of the applicable transaction.

Where Solaris Sports Group LLC processes payments and an umpire fails to appear for a confirmed booking, the Company may, in its sole discretion or as otherwise required by applicable law, issue a refund in accordance with the payment terms applicable to that booking.

Solaris Sports Group LLC is not responsible for payment disputes involving transactions completed outside the Platform.

16. Taxes

Users are solely responsible for determining, reporting, and paying any taxes arising from payments made or received through the Platform.

Except where required by applicable law, Solaris Sports Group LLC is not responsible for calculating, collecting, reporting, or remitting taxes on behalf of users.

17. User Content

You retain ownership of the content you submit to the Platform, including profile information, photographs, reviews, messages, communications, match information, and other materials.

By submitting content, you grant Solaris Sports Group LLC a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to host, store, reproduce, display, distribute, modify for technical purposes, and otherwise use such content solely for operating, maintaining, securing, improving, marketing, and providing the Platform.

You represent and warrant that:

• You own or have all necessary rights to submit the content;
• Your content does not violate any law or the rights of any third party; and
• Your content is accurate to the best of your knowledge.

We reserve the right, but not the obligation, to remove, edit, restrict, or refuse any content that we reasonably believe violates these Terms or applicable law.

18. Feedback

If you provide suggestions, recommendations, feature requests, comments, or other feedback relating to the Platform, you grant Solaris Sports Group LLC a perpetual, irrevocable, worldwide, royalty-free, transferable, sublicensable right to use, reproduce, modify, distribute, display, commercialize, and otherwise exploit such feedback without compensation, attribution, or further permission.

19. Intellectual Property

The Platform, including its software, source code, object code, databases, APIs, algorithms, user interface, graphics, designs, layouts, text, images, videos, icons, logos, trademarks, service marks, trade dress, documentation, and all related intellectual property rights, is owned by or licensed to Solaris Sports Group LLC and is protected by United States and international intellectual property laws.

STRIKR™ is a trademark of Solaris Sports Group LLC. U.S. trademark registration is pending.

Except as expressly permitted by these Terms or applicable law, you may not copy, reproduce, modify, publish, distribute, display, sell, lease, license, sublicense, reverse engineer, decompile, disassemble, create derivative works from, or otherwise exploit any portion of the Platform or its intellectual property without the prior written consent of Solaris Sports Group LLC.

All rights not expressly granted under these Terms are reserved by Solaris Sports Group LLC.
